Services Provided

- IT consultancy services across a range of third-party SaaS platforms.
- Integration and configuration support for SaaS platforms.
- Customisation and white-labelling of proprietary SaaS products under three monthly pricing tiers: Gold, Silver, and Bronze.

We may modify or discontinue services at any time. Clients will be notified of material changes that affect existing contracts.

Intellectual Property

All proprietary software, source code, frameworks, and modules developed or provided by Blue Crow Ltd — including customised or white-labelled solutions — remain the sole property of Blue Crow Ltd unless otherwise agreed in writing.

Clients receive a non-exclusive, non-transferable license to use the software or service as agreed, for the term of their contract.

Reuse of proprietary modules and prebuilt components is permitted across multiple client projects.

Client Engagement & Contracts

Projects may be governed by fixed-price, time-and-materials, or retainer-based agreements, depending on the client’s requirements.

Each engagement may involve a separate Service Agreement, which will specify deliverables, timelines, payment structure, and any additional terms specific to the project. In case of conflict, the signed agreement shall take precedence over these general terms.

Data Protection & Privacy

We collect and process personal data as necessary to:
- Deliver services
- Communicate relevant updates and offers
- Manage client relationships

We comply with the UK GDPR and Data Protection Act 2018. For more detail, please refer to our Privacy Policy.

Pricing and Payment

For consultancy and customisation services:
- Payment is generally due in line with agreed milestones or project phases.
- Upfront deposits may be required.

For white-labelled SaaS:
- Subscription charges are billed monthly according to the selected tier (Gold, Silver, or Bronze).
- Payments are typically made via direct debit. Failure to maintain active payments may result in suspension of service.

All fees are quoted exclusive of VAT unless otherwise stated.

Warranties and Limitations of Liability

While we strive to provide services and software to a high professional standard:
- All services are provided “as is” without warranties of any kind, unless explicitly stated in a project agreement.
- We do not guarantee that customised or SaaS services will be error-free or uninterrupted.
- Blue Crow Ltd shall not be liable for any indirect, incidental, or consequential losses (including data loss or loss of business), except in cases of gross negligence or wilful misconduct.

Our total liability in respect of any contract shall not exceed the total fees paid by the client under that contract in the 12 months preceding the claim.

Jurisdiction and Governing Law

These Terms and any disputes shall be governed by and construed in accordance with the laws of England and Wales. The courts of England shall have exclusive jurisdiction over any disputes arising under or in connection with these Terms.

Termination

Either party may terminate an agreement:
- With 30 days’ written notice
- Immediately, if the other party breaches these Terms or any related agreement

Upon termination, any outstanding payments remain due, and access to SaaS services may be revoked.

Client Responsibilities

Clients agree to:
- Provide timely access to required information or personnel
- Respond to requests for feedback or decisions to avoid delays
- Maintain secure access credentials where applicable
